Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of this website and any order you place with Elysium Bio Labs ("Elysium Bio Labs", "we", "us", or "our"). By accessing the site or placing an order, you agree to these Terms, our Research Use Only Policy, and our Privacy Policy. If you do not agree, do not use the site or place an order.

“Materials” or “products” means the research materials listed on the site. “Order” means a request you submit through checkout. “Order request” means that submission before we accept it. “You” means the individual or organization using the site or placing an order.

You must be able to form a binding contract and be ordering for legitimate, non-clinical research purposes on behalf of a business, institution, or qualified professional. You represent that the information you provide is accurate and that you are authorized to order.

All products and materials presented by Elysium Bio Labs are intended exclusively for laboratory, analytical, and research purposes. They are not intended for human or veterinary consumption, diagnosis, treatment, prevention, or therapeutic use.

Human and veterinary use is strictly prohibited. We provide no dosing, administration, or clinical information. Our Research Use Only Policy applies in full and is incorporated into these Terms.

We try to describe materials accurately, but descriptions, presentations, and specifications are provided for general information and may contain errors or change without notice. Product images and vial illustrations are representative; the item you receive may differ in appearance.

Listing a material does not guarantee it is in stock. Availability is confirmed during order review, and we may be unable to fulfil all or part of an order.

Any description such as “independently tested”, “independently evaluated”, “verified”, “high purity”, “pharmaceutical grade”, “guaranteed purity”, “Canadian sourced”, or references to “every batch” applies only to a specific batch and only where a supporting record for that batch exists and is identified. Such descriptions are not applied generally and are not a warranty beyond the record referenced.

Where a supporting record is not available, we do not present the material as tested, verified, or carrying such a claim. Analytical results relate only to the batch tested and are not transferred between batches.

Prices are shown in CAD and may change without notice. Promotional and bulk (multi-vial) discounts apply only as displayed at the time of order. Applicable taxes, if any, are the customer's responsibility and are applied only where we are required to collect them; tax collection is enabled only once the applicable registration is in place.

Shipping amounts shown at checkout are estimates based on destination and package information and are not a guaranteed carrier rate. The final shipping charge is confirmed before payment is requested and may differ if the address, package details, or carrier rates change. We do not request payment until the final order total is available.

Submitting checkout creates an order REQUEST; it is not an accepted contract. We review each request for availability, eligibility, and accuracy, and we may accept or reject all or part of it.

An automated on-screen confirmation or email acknowledges receipt of your request only. It does not by itself mean the order has been accepted. Acceptance occurs when we confirm the order to you.

If a material is unavailable or a price, discount, tax, or shipping amount is displayed in error, we may correct the error, cancel the affected order, or offer you the corrected terms before proceeding. If payment has already been sent for a cancelled order, we will refund it.

Payment is made by Interac e-transfer to the address we provide, using your order number as the reference so we can match your payment. Do not send payment until the final order total is confirmed.

If a payment cannot be matched, is duplicated, fails, or does not equal the final total, we will contact you to resolve it, and we may hold, adjust, or cancel the order until payment is reconciled. Duplicate payments and overpayments are refunded.

You may request a change or cancellation before dispatch by contacting info@elysiumbiolabs.com with your order number; changes depend on order status and are not guaranteed. Orders can generally be cancelled before dispatch. See our Refund Policy for how cancellations and refunds are handled.

Orders are shipped within Canada by Canada Post after payment is confirmed. Delivery estimates are provided by the carrier and are not guaranteed delivery dates; transit may be affected by destination, weather, volume, or operational delays. See our Shipping Policy for details.

Risk of loss passes on delivery to the carrier unless otherwise required by law. You are responsible for providing an accurate address and for inspecting your order promptly on receipt.

Returns, replacements, and refunds are handled in accordance with our Refund Policy, which forms part of these Terms.

You are responsible for correct storage and handling of materials on receipt in accordance with their documentation. Batch documentation is provided in accordance with our Documentation Policy.

Wholesale and institutional requests are quoted separately and are subject to availability, batch-specific documentation, and confirmation. A request is not an accepted contract and does not establish pricing until confirmed by us.

The website and its content are owned by or licensed to us and are protected by law. You may use the site only for lawful purposes connected with legitimate ordering and inquiries.

You must not misuse the site, attempt to gain unauthorized access, interfere with its operation, scrape it at scale, or introduce malicious code.

The site relies on third-party services (such as hosting, email delivery, and the shipping carrier) and may link to third-party sites we do not control. We do not guarantee uninterrupted or error-free availability and may modify or suspend the site at any time.

We may correct any errors, inaccuracies, or omissions and update information at any time without prior notice, including after an order request has been submitted.

Except as expressly stated and to the fullest extent permitted by law, the website and materials are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Materials are supplied for research use only and without any warranty of suitability for any human, veterinary, or clinical purpose.

To the fullest extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss arising from misuse of materials contrary to the Research Use Only Policy.

You agree to indemnify and hold us harmless from claims, losses, and expenses arising from your breach of these Terms, your misuse of materials, or your use contrary to the Research Use Only Policy, to the extent permitted by law.

Our Privacy Policy governs personal information. By ordering or contacting us, you consent to receive order-related communications electronically at the email address you provide.

These Terms are governed by the laws of the Province or Territory in Canada in which Elysium Bio Labs operates, and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The parties will attempt in good faith to resolve disputes informally before pursuing other remedies available at law.

If any provision is found unenforceable, the remaining provisions continue in effect. We may update these Terms from time to time; the “last updated” date reflects the latest version, and continued use after changes constitutes acceptance.
